Anthropic has filed for an initial public offering, signaling a move toward the public markets.

The company submitted an S-1 filing to the Securities and Exchange Commission on Monday. This document outlines the financial details and risks associated with the maker of the Claude AI platform. The filing sets the stage for a potential listing on the Nasdaq Composite Index.

According to the prospectus, Anthropic generated $16.3 billion in revenue during the first half of 2026. That figure represents a sharp increase from the $1.2 billion recorded in the same period last year. The company warned that this rate of expansion is expected to decline over time. Despite the revenue surge, Anthropic has not yet achieved profitability. It reported a net loss of $80.7 billion for the first two quarters of 2026, a figure more than six times higher than the nearly $13 billion loss recorded in the first half of 2025.

The company spent $8.9 billion on chips and other infrastructure in the first half of the year to power its models. This amount is a significant jump from the $2.3 billion spent during the same period last year. The founders, including CEO Dario Amodei, addressed prospective shareholders in a letter included in the filing. They urged investors to view the purchase as a chance to participate in a historical moment rather than a simple transaction.

Market analysts expect the offering to close as early as November. If the deal raises the reported maximum of $100 billion, it would exceed the $86 billion raised by Elon Musk-owned SpaceX. Anthropic was valued at $965 billion in May, but its post-IPO valuation could reach $1.5 trillion or $2 trillion. The final price has not been established. The shares will trade under the ticker symbol ANT.

Industry observers view the transaction as a test of investor appetite for the entire AI sector. Nigel Green, CEO of investment firm deVere Group, described the IPO as a referendum on the AI trade. He noted that a successful debut could trigger a queue of new listings, while a stumble could force a rapid reset in tech valuations. Analysts at Lightshed offered a more cautious perspective. They stated that the company could become the most valuable in the world or end up in bankruptcy.

The filing details several risks that could hinder growth. Anthropic noted that it relies on access to capital, including debt financing, to maintain its competitive edge. The company also identified the need for recursive self-improvement, a process where existing AI models help design and train next-generation platforms. Anthropic warned that failing to direct sufficient compute resources to this AI-assisted development could cause it to fall behind competitors.

The company filed a confidential draft with the SEC in June, preceding a rival filing by more than a week. Both companies are moving forward with public plans despite ongoing safety debates. In September, Amodei cited a 10% chance that the technology could wipe out humanity in the next decade. He argued that the pace of growth should serve as a warning sign while still making the case for continued development.
